Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Udabyte LLC (“Udabyte,” “we,” “us”) governing your use of our website and products — Madrich, Mindirus, and FinancialHealth.io (each, a “Service”). By creating an account or using a Service, you agree to these Terms. If a Service has supplemental product-specific terms, those apply in addition to these.

Please read Section 8 (Disclaimers) and Section 9 (Limitation of Liability) carefully — our Services provide informational tools, not professional financial, legal, or admissions advice.

1. Eligibility

You must be able to form a binding contract to use a Service. Our Services are intended for adults. Madrich may be used by a student under 18 only under the supervision and with the consent of a parent or legal guardian, who agrees to these Terms on the student’s behalf. Where a user is under 13, a Service may be used only with verifiable parental consent as described in our Privacy Policy.

2. Accounts

You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account. Notify us promptly at support@udabyte.com of any unauthorized use.

3. The Services

We may add, change, or discontinue features at any time. We aim for high availability but do not guarantee the Services will be uninterrupted or error-free.

4. Subscriptions, billing & cancellation

Some Services are offered on a paid subscription. By subscribing you authorize us and our payment processor (Stripe) to charge your payment method the then-current fee.

5. Acceptable use

You agree not to: (a) use a Service unlawfully or to infringe others’ rights; (b) attempt to access accounts or data that are not yours; (c) probe, scan, or breach security; (d) scrape, reverse engineer, or resell the Service; (e) upload malware; or (f) use the Service to build a competing product. For education products, you agree not to use AI output to violate any exam, school, or academic-integrity policy.

6. Intellectual property

The Services, including software, content, and branding, are owned by Udabyte and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You retain ownership of the content and data you submit, and you grant us the license needed to operate and improve the Services for you.

7. Third-party services

Some features rely on third parties — for example, Plaid for bank connectivity and Stripe for payments. Your use of those features is also subject to the third party’s terms and privacy practices. We are not responsible for third-party services, and connecting them is at your discretion.

8. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Content and AI-generated output are for informational purposes only and are not professional advice:

You are solely responsible for decisions you make based on the Services.

9. Limitation of liability

To the maximum extent permitted by law, Udabyte and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Services will not exceed the greater of the amounts you paid us for the Service in the 12 months before the claim, or USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold Udabyte harmless from claims and expenses arising out of your misuse of the Services or violation of these Terms or applicable law.

11. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Services. Sections that by their nature should survive (including 6, 8, 9, 10, and 12) will survive termination.

12. Governing law & dispute resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-laws rules. Before filing any claim, you agree to first contact us at support@udabyte.com so we can try to resolve it informally. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Georgia, unless applicable law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. We will post the revised version here with a new “Last updated” date and, for material changes, provide additional notice. Continued use after changes means you accept them.
